Advised Ridgeview Place, a new developer in the commercial real estate space, on the leasing out of its new office block located in Ridgeways, Nairobi including structuring of the legal documentation, preparation of offer letters and lease agreements, negotiation of lease terms with commercial tenants and registration of short-term leases on Ardhi Sasa.
Advised Wetlands International Kenya on registration of a regional NGO including structuring governance structures, funding mechanisms, and compliance obligations, while providing detailed guidance on the registration process, drafting the constitution and aligning the organization’s objectives with the requirements for public benefit status. We also provided strategic advice on transitioning to the new regime under the recently enacted Public Benefits Organization Act.
Advised Mozzartbet Kenya, a leading international betting company, on a variety of commercial transactions including company restructuring, employment laws, commercial transactions including sponsorship arrangements, trademark registration and assignment, HR and AML policies, executive recruitment, betting laws and taxes, commercial leasing, and licensing arrangements with telecommunications service providers.
Advised the Association of Gaming Operators in Kenya on revising its constitutional documents and bylaws and registration of the same with the Societies Registry including changes of officials and regularisation of the file at the registry.
Advised Kalson Towers, a landowner in the commercial real estate space, on the leasing out of its office block located in Westlands, including preparation of lease agreements, negotiation of lease terms with commercial tenants and registration of short-term leases.
Advised Manix, a leading retailer on a distribution agreement with Levi’s, including the impact of the distribution arrangement on the retailer’s existing lease agreements, third party supply contracts, intellectual property and local labour force.
Advised a leading real estate developer on a software implementation agreement with a developer based out of Dubai and Egypt, including structuring issues related to project management and deliverables, transfer of data out of Kenya and management of independent consultants.
Advised Kenyan entrepreneurs on a cross-border distribution agreement and joint venture with an Australian investor including establishing a presence in Kenya for the new agribusiness and advising its directors and shareholders on various commercial contracts and intellectual property matters.
Advised a multinational private equity firm operating out of Nigeria an intercompany arrangement for its branch in Kenya including advising on aspects of internal loan structure, transfer pricing regulations under the Income Tax Act and the arm’s length principle and its applicability in related party transactions.
Advised a multinational company based out of Panama on a services contract for its group entities involving advice around accrual of VAT between principals and agents, the arm’s length principle, and accrual of tax for income generated by its subsidiary in the Republic of Kenya.
